USER LICENSE AGREEMENT

This License Agreement is a legal agreement between you and TNG for the software infrastructure Skainet. By using Skainet, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this License Agreement, as well as TNG's Privacy Policy, which is available at https://legal.model.tngtech.com/privacy-policy.

1. License Grant

TNG hereby grants to you a non-exclusive, worldwide, revocable license to use Skainet in accordance with this License Agreement. TNG retains all intellectual property rights for the software, granting you limited rights of use.

2. Restrictions and Obligations

2.1. You shall not rent, lease, permit time-sharing or otherwise make available Skainet to any other party.

2.2. With respect to third party models, especially but not limited to Llama models, you consent to adhere to the respective Acceptable Use Policy. For Llama 3.3 the use policy is available at https://www.llama.com/llama3_3/use-policy. You shall indemnify and hold harmless TNG from and against all claims, demands, losses, damages, costs, and expenses arising out of or resulting from your own breach of those obligations.

2.3. Fair‑Use Policy. You shall not engage in any activity that circumvents, manipulates, or otherwise exploits the service in a manner inconsistent with normal, legitimate use, including but not limited to attempts to deliberately overload, automate abuse, or otherwise misuse the infrastructure.

3. Term and Termination

3.1. This License Agreement is effective upon your access, or use of Skainet, and will continue until terminated.

3.2. This License Agreement will terminate automatically and immediately if you fail to comply with any of its terms or conditions.

3.3. TNG may terminate this License Agreement for Skainet at any time. TNG may revoke access tokens for Skainet at any time.

4. Warranty and Liability

4.1. TNG provides Skainet on an "as is" and best effort basis. In particular, no warranty of quality or operational capability is provided.

4.2. TNG does not warrant any results of the use of Skainet or that Skainet itself is bug-free or error-free.

4.3. As far as legally permissible TNG shall not be liable for any damages arising from breach of contract, tort or other legal grounds (including, but not limited to, damages resulting from loss of data or other content, lost profits, business interruption or other losses) in connection with the use of Skainet.

5. Miscellaneous

5.1. Survival. Any provisions which by their nature are intended to survive termination or expiration of the License Agreement, shall survive any termination or expiration of this License Agreement.

5.2. Compliance with Laws. Your use of Skainet shall comply with all applicable laws, legislation, rules and regulations.

5.3. Governing Law and Dispute Resolution. This License Agreement will be construed and governed in accordance with the laws of Germany, without regard to its rules of conflict or choice of law provisions that would require the application of the laws of any other jurisdiction; the United Nations Convention on the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply. Any and all disputes, claims, or controversies arising out of or relating to this License Agreement including your use thereof, shall be resolved exclusively in the court of Munich.

5.4. Severability. Should any term of this License Agreement be declared void or unenforceable by any court of competent jurisdiction, such declaration will have no effect on the remaining terms hereof.

5.5. Entire Agreement. This License Agreement represents the entire agreement between TNG and you concerning Skainet, and any and all other prior agreements, representations, statements, negotiations, and undertakings with respect to such subject are terminated and superseded hereby.
